Statutes (by-laws/articles of association) for ltd company?

Statutes (by-laws/articles of association) for ltd company?

Hello,

For our ltd company, what document is it exactly that Amazon wants us to upload under the ‘Statutes (by-laws/articles of association)’ section of the verification page? I’ve uploaded the incorporation/registration certificate but I’m not sure whether they want the Memorandum of Association, Articles of Association or something different?

Also, I was looking at this page and they state the following:

What information am I required to provide?

Private limited liability companies registered in the United Kingdom:

  • Current Appointments Report (CAR) dated from the past 90 day
  • Utility Bill, Bank Statement or Credit Card Statement in the name of the Business and dated from the past 90 days
  • Articles of Association
  • Memorandum of Association or Statement of Capital - this document displays the shareholders and the division of the shares

In my verification page they only request proof of incorporation/registration for the ltd company and ‘Statutes (by-laws/articles of association)’ – but I don’t know what they want here.

Can someone please clarify? Thank you.

It’s not very clear, I agree.

They want your Memorandum & Articles of Association and a Statement of Capital (showing shareholders and percentage of shares held):

Your accountant should be able to provide you with a Current Appointments Report, if it’s not already available on the CH website.

The Utility Bill / Bank statement is self-explanatory, although it does need to be in the name of the company.
