TRANSFERRING FROM SOLE TRADER TO LIMITED COMPANY

Hello,

I am currently registered as a sole trader in amazon and been selling from 14 months on amazon.

Now, my sales has exceeded the UK VAT threshold of £85,000 and I am required to provide the VAT Number.

My accountant suggested to register for a limited company instead and apply VAT for limited company rather than sole trader.

My company address would be different to my current sole trader address.

Can anyone guide me through the process to transfter sole trader to limited company with a new address ? Like, what all documents do I need to gather (and from where) before initiating the process ?

I would really appreciate the help.

The threshold isn't £85k it's £90k. I'm not an accountant, but if you have already breached the threshold and made registration mandatory then don't you have to register for it as a sole trader?

I understand there is some advice given that when nearing the threshold it makes sense to "reset the clock" by starting a limited company, but presumably you already now owe VAT personally?

You are in a bit of a conundrum here as HMRC require you to VAT register as you approach and know you are going to hit 90k or immediately once you hit it.

"Planning to start the process soon" could see you in a lot of bother with HMRC as your requirement is immediate !!

You really should of planned this some time ago before reaching the threshold as the changeover from sole to Ltd with Amazon could take some time to complete and getting all the necessary documents to do the switch will also take some time to gather.

You will need.....

VAT registration number (can take a few weeks from registration to show up on the HMRC register that Amazon uses to verify you with)

Bills in the name of the company (Utility etc.)

identity documents that tie you to the Ltd company (articles of association etc as well as re-verification of personal identity, passport etc)

Authorisation document (letter from your company letterheaded document authorising yourself to act on behalf of the company)

Probable re-verification of bank details in name of company. (can be personal name "trading as" COMPANY) but has to show BOTH on the document.

Company registration number issued by companies house.

These are just the basics.

I would advise getting all the paperwork required together before making the change on Amazon as your funds will very likely be held until the verification has completed, and the longer it takes to get the paperwork together whilst undergoing verification could harm your cashflow.

The VAT issue from sole to Ltd is something you would have to get advice direct from HMRC on, as it has already been pointed out by others that you are liable for personal VAT since you have passed the 90k, and cannot simply be reset by changing entity.

Good luck though.

Bad advise. I have transferred in January. It was quiet fast and simple. But you have to prepare all docs first

Exactly that, from the same experience.

I think in the first instance you need to ask Seller Support and they'll put you in touch with the team that do it, they'll tell you what you need. Make sure you have ALL the paperwork before starting anything. The other advice I received from someone was to start the process at the beginning of the week. It's a team that only works Monday to Friday, so starting a Friday potentially loses you three days.

On another thing you can set up a VAT number as a sole trader and transfer it to a Ltd company fairly easily. My accountant did that but it's easily done online. I think you may be better off doing that if you are already registered as a sole trader. Get your VAT number set up and then the limited company.

There are horror stories around about this and I've had my share of Amazon ones but the process of sole trader to limited company was pretty painless and surprisingly quick.

Not an exact list to hand but you're best checking with the responsible Amazon department anyway. It may well have changed or differ from seller to seller. I remember being a bit concerned as I was changing address at the same time but they covered that too.

That is exactly my situation.

Sole tradership is currently on my home address but company registration would be at a different address.

The part I am concerned about is about the address related documents that amazon would be looking for.

what documents shall I prepare in regards to these addresses ? Any advice would be appreciated

I just told them the situation and then gave them what they asked for. It wasn't too much from what I remember. Knowing Amazon though they may well change it and if you send them different documents to what they ask for that could skew things.

It's essentially bank details, company details and ID of directors. It wasn't a lot of paperwork and nothing that would be difficult to get hold of.

Would you have the list of docs that you have shared with seller support to transfter from sole trader to limited company

Not an exact list to hand but you're best checking with the responsible Amazon department anyway. It may well have changed or differ from seller to seller. I remember being a bit concerned as I was changing address at the same time but they covered that too.

Not an exact list to hand but you're best checking with the responsible Amazon department anyway. It may well have changed or differ from seller to seller. I remember being a bit concerned as I was changing address at the same time but they covered that too.

Sole tradership is currently on my home address but company registration would be at a different address.

The part I am concerned about is about the address related documents that amazon would be looking for.

I just told them the situation and then gave them what they asked for. It wasn't too much from what I remember. Knowing Amazon though they may well change it and if you send them different documents to what they ask for that could skew things.

It's essentially bank details, company details and ID of directors. It wasn't a lot of paperwork and nothing that would be difficult to get hold of.
